The Amended and Restated Bylaws were adopted by unanimous vote of the 112 members present in person or by proxy at a properly noticed meeting on 11 June 2022. They amend and completely replace all previous bylaws and the Constitution of the Association.
Fourteen articles cover the Association’s purposes and nonprofit status, eligibility for membership and annual dues, voting, meetings of members, the Board of Directors and its meetings and powers, officers and their duties, committees, liability and indemnity, dissolution, and amendment. The Association is a Wisconsin nonstock corporation under Chapter 181 of the Wisconsin Statutes.
